Thank you for visiting Next Projectx (the “Next Projectx,” or the “Company”). This Terms of Use applies to all Visitors, Users, and Contractor Members who use our website, Platform, or Service. By using our Platform, you acknowledge that you have read, understood, and agree to the terms outlined herein and our Privacy Policy. We may update the Terms of Use from time to time without notice.

Restrictions:

By registering as a User, you represent and warrant that you are 18 years of age or older.

Description of Services:

Visitors are people who are looking at our website or Platform to review our Services. They have not yet signed up for our Services. They can view all publicly-accessible content, and contact us by phone or email.

Users are people who have registered to use our Services now or for a later date. They are able to post their home repair or improvement projects for Contractor Members to review and potentially submit bids. They can create content (“User Content”) by posting comments, pictures, or other content for the Company or Member Contractors to see.

The Company is under no obligation to accept any individual as a User, and may accept or reject any registration based on our discretion.

The User is responsible for paying their own carrier, data, or text messaging fees they may incur by accessing our Platform from their mobile phones.

The Company helps Users find and match Contractor Members to their home repair or improvement projects. We do not perform any physical work ourselves, and accordingly, we shall have no liability to any part in connection with any projects and the Users understand and acknowledge that they are assuming the risks when using any services provided by the Contractor Members.

Waiver and Release:

The Company may provide Users with an estimate cost of the home repair or improvement project. The estimate cost is only a guide, and is not a representation or guarantee by Company of the actual price of a Job or the cost of labor for a job. Company provides no representation or warranty as to the accuracy of the price estimates, and the Company will not be liable for Users or Contractor Members’ reliance on any estimates.

Although as a User, you can communicate with Contractor Members through our Platform, we are not a party to any transaction you make with any Contractor Members. We, therefore, shall have no liability to any party in connection with any transactions. We recommend that Users and Contractor Member s get their agreement in writing.

Although we perform basic background, including criminal background, check on all Contractor Members, we do not investigate their morality, character, actions, or demeanor. Users agree to take reasonable precautions in all communications and interactions with Contractor Members with whom you contract with.

Contractor Members are not employees of the Company, but are independent contractors that agree to provide Third Party Services to Users. Each Contractor Member is responsible for its compliance with applicable federal, state and local employment and wage laws.

We make no representations, warranties, claims, or assurances as to Contractor Members’ products or services, including, without limitation, their quality, suitability, fitness for a particular purpose, compliance with laws, and pricing. We do not endorse any Contractor Member.

User Name and Password:

As a User, you will create an account, which includes a sign-in name and password. By creating a User account, you agree to provide true, accurate, current, and complete information. Each account can be used by only one User. We reserve the right to change or delete your account at any time and for any reason. We will not be liable for any loss or damage caused by any unauthorized use of your account.

Intellectual Property:

Our website and Platform contains materials (the “Content”) owned by us or by third parties. Unauthorized use of the content may violate copyright, trademark, or other laws. The use or posting of the Content is prohibited.

No Warranties & Limitation of Liability:

The Company makes no warranties or representations about the Platform, the contents of the Services, Users, the Contract Members or any other users. We shall not be subject to liability for any delays or interruptions of the Platform from whatever cause. You agree that you use the Platform, the content, and the Services at your own risk.

The Platform may contain technical inaccuracies, errors, or omissions. We are not responsible for such technical inaccuracies, errors, or omissions. We reserve the right to make changes, corrections, or improvements to the Platform at any time without notice.

We are not liable for any incidental or consequential damages resulting from the use or inability to use the Platform even if we have been advised of the possibility of such damages.

The Platform, its content, and the services are provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind.

The Platform may contain links to third-party websites (“External Sites”). The links are provided to you as a convenience and not as an endorsement by the Company. We are not responsible for the content of any linked External Sites and recommend that you contact the External Sites directly if you have any questions or concerns relating to External links.

Indemnification:

You agree to defend, indemnify, and hold us and our officers, employees, licensees, and assigns harmless from any and against all claims, actions, or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from your breach of this Agreement or any other agreement with us, or any of your transactions of your access to, use, or misuse of the Platform and its content, or the Services.

Termination of the Agreement:

We reserve the right to restrict, suspend, or terminate this Agreement and your access to the Platform and the Services at any time and for any reason without prior notice or liability. We reserve the right to change, suspend, discontinue, or sell all of any part of the Services at any time without prior notice or liability.

Applicable Laws:

This Terms of Use and any other Agreement or Claims will be governed by the laws of the State of Virginia.
