CODE OF ETHICS
This Code of Ethics contains the policies that relate to the legal and ethical standards of conduct that any
contractor (“Contractor”) must comply with in their work with A.Mazarch & Co d/b/a NextProjectx (the
“Company”) and with those entering into agreements with the Contractors (the “Clients”) through the
NextProjectx Website (the “Website”). Compliance with these principles is a condition to a Contractor’s
continued use of the Website and the services provided by NextProjectx. Contractor acknowledges and
agrees that without the strict following of these Code of Ethics, the Company will not likely succeed and
therefore, the Contractor will lose the potential business from the Clients.
We acknowledge that the Code of Ethics cannot anticipate every situation a Contractor may face. We
therefore require a Contractor to not only abide by the express terms of this Code of Ethics, but also
require that the Contractor always maintain a professional, fair and ethical business, regardless of
whether there is an express restriction or requirement herein.
REPORTING OF ILLEGAL OR UNETHICAL BEHAVIOUR
Contractors must maintain an ethical behavior in its interactions and should discuss how to handle
situations with the Company when in doubt about the best course of action in a particular situation.
AMENDMENTS AND WAIVERS
Any amendments to or waiver of this Code of Ethics shall be made only by the Company. The Company
may update or amend this Code of Ethics at any time by posting the update or amendment to the
Website and/or distributing to Contractors. Contractors will be bound by any such update or
amendment upon posting or distribution.
I. ETHICS
BUSINESS INTEGRITY
The Contractor will conduct its business free from corruption or fraud. The Contractor will not receive or
offer tangible or intangible bribes or kickbacks in any form.
CONFLICTS OF INTEREST
The Contractor shall avoid conflicts of interest between themselves and the Company and Clients. A
“conflict of interest” can occur when the private interest of a Contractor interferes in any way – or even
appears to interfere – with the interests of the Client or the Company.
In furtherance thereof, but not in limitation, Contractors are prohibited from (a) taking for themselves
personally opportunities that are discovered through the Website, or (b) using Company or client
property, information or position for personal gain.
CONFIDENTIAL INFORMATION
Contractors should maintain the confidentiality of information entrusted to them by the Company or
the Clients. “Confidential information” includes all non-public information that might be of use to
competitors, or harmful to the Company or Clients, if disclosed.
COMPLIANCE WITH LAWS, RULES AND REGULATIONS
The Contractor must comply with the laws, rules and regulations applicable to the Contractor. Failure to
comply with these requirements may be a criminal offense. A Contractor must comply with these
requirements and questions regarding compliance should be referred to appropriate personnel or
outside counsel as necessary.
II. EXCELLENCE
RELATIONSHIPS WITH OTHER PARTIES
A Contractor must deal fairly with the Company and the Clients. Contractor must not take advantage of
anyone through manipulation, concealment, abuse of privileged information, misrepresentation of
material facts, or any other unfair-dealing practice. A Contractor will not use funds from one Client to
pay for outstanding obligations on other jobs or to pay payroll or subcontractors if such funds are to be
used for materials or costs on a Client’s job.
HARASSMENT, BULLYING AND DISCRIMINATION
A Contractor must treat all individuals with respect, tolerance, dignity and without prejudice to create a
mutually respectful and positive working environment. A Contractor must not harass or bully a Client, an
employee of the Company or any of its personnel or subcontractors.
FAIR COMPETITION
A Contractor must adhere to laws and regulations which are designed to ensure effective competition.
ACCOUNTABILITY
A Contractor is held accountable for Code of Ethics compliance with regard to issues by it or its
personnel or subcontractors. Sanctions for a breach of this Code of Ethics shall be determined by the
Company and may result in Contractor being terminated from the Website and being responsible for
any damages caused to the Company or the Clients.
ACCURATE RECORD KEEPING AND REPORTING
A Contractor must accurately reflect the transactions with the Company and the Clients in its books,
records, accounts and reports and should maintain an adequate system of internal controls and
disclosure controls to promote compliance with the laws, rules and regulations and its ability to
promptly and completely show the Company the jobs worked on for the Clients. Falsification of any
record is prohibited.
COMMUNICATIONS
The Contractor will communicate open, honestly and frequently with the Company and the Clients
regarding the projects and matters that it undertakes.
